This Content Creator Agreement ("Agreement") is entered into as of
("Effective Date"), by and between BurnBox, LLC, a Lithuanian limited liability company with its principal office located at Herkaus Manto str. 4-133, LT-09318 Vilnius, the Republic of Lithuania ("BurnBox"), and
an individual residing at
Content Creator agrees to create and deliver video content ("Content") promoting BurnBox's products as part of the [Name of Campaign] ("Campaign").
The Content must be completed and uploaded to [Platform/Channels] before 12:00 AM on the 3rd calendar day after receiving the materials from BurnBox.
BurnBox reserves the right to edit the Content in any manner it deems appropriate, including but not limited to modifying, altering, or discarding portions of the Content.
BurnBox has the sole discretion to determine if the Content meets the standards and requirements of the Campaign.
If the Content does not meet BurnBox's standards, BurnBox may discard the Content. In such cases, the Content Creator will be compensated $100, plus the free sample box received as part of the Campaign.
Content Creator grants BurnBox the right to use, edit, and distribute the Content, including the Creator's likeness, image, voice, and performance, in any media or format, worldwide, in perpetuity, without further compensation, except as provided in this Agreement.
Content Creator waives any right to inspect or approve the finished product or the use to which it may be applied.
Content Creator will receive a payment of [Total Payment Amount] for the Content, provided it meets the standards of the Campaign and is submitted on time.
Payment will be made via direct deposit (ACH payment) within 7 days of submission of the Content, provided all conditions of this Agreement are met.
The Content must be completed and uploaded before 12:00 AM on the 3rd calendar day after receiving the materials from BurnBox.
Late submissions will result in a 20% withholding of the agreed payment. For example, if the agreed payment is $500, a late submission will result in a $100 withholding, and the Creator will receive $400.
BurnBox shall have exclusive ownership of all rights, title, and interest in the Content, including all intellectual property rights.
Content Creator acknowledges that the Content is being created as a work made for hire for BurnBox, and upon payment, BurnBox shall own all rights to the Content.
Content Creator agrees to keep confidential all proprietary information regarding BurnBox, its products, and the Campaign, and will not disclose such information to any third party without prior written consent from BurnBox.
BurnBox reserves the right to terminate this Agreement at any time if the Content Creator fails to comply with the terms of this Agreement.
Upon termination, the Content Creator shall be entitled to the compensation as outlined in Section 2 if the Content has been submitted and meets the requirements, or as otherwise provided for discarded Content.
This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
This Agreement constitutes the entire understanding between BurnBox and Content Creator with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.
By signing below, Content Creator acknowledges that they have read, understood, and agree to the terms and conditions set forth in this Agreement.
